Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of The Muir Group's website, services, and HR consulting offerings (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Description of Services

The Muir Group provides AI-augmented HR consulting services to small and mid-sized businesses, including but not limited to:

  • HR advisory and compliance consulting
  • Recruitment and onboarding support
  • Payroll and benefits advisory
  • Performance management frameworks
  • Training and development planning

Our Services are advisory in nature and do not constitute legal advice, payroll processing services, or direct employee management decisions.

Scope of Services and Limitations

What We Provide

  • Strategic HR consulting and advisory services
  • Documentation, templates, and policy recommendations
  • AI-assisted insights with human oversight and review
  • Compliance-focused recommendations and audits
  • Implementation support and ongoing advisory access

What We Do Not Provide

  • Legal representation or legal advice (consult an employment attorney for legal matters)
  • Payroll processing or benefits administration services
  • Direct employee discipline or termination decisions
  • Replacement of internal HR staff (unless explicitly contracted as fractional HR)
  • Guaranteed outcomes or specific business results

Client Responsibilities

As a client of The Muir Group, you agree to:

  • Provide accurate and complete information necessary for us to deliver our Services
  • Implement our recommendations at your own discretion and risk
  • Consult with legal counsel for matters requiring legal advice
  • Maintain confidentiality of any proprietary methodologies or materials we provide
  • Pay all fees in accordance with our agreed-upon terms
  • Comply with all applicable employment laws and regulations

AI-Assisted Services Disclosure

The Muir Group uses artificial intelligence tools to enhance the efficiency and quality of our HR consulting services. All AI-assisted analysis is subject to human review and oversight by our experienced HR professionals. We maintain responsible AI practices, including data privacy protections, bias monitoring, and quality assurance. You acknowledge that AI tools are used as part of our service delivery and agree to our use of such technology in accordance with our Privacy Policy.

Fees and Payment

Fees for our Services are determined on a project or engagement basis and will be outlined in a separate service agreement or proposal. Payment terms include:

  • Fees are due according to the payment schedule specified in your service agreement
  • Late payments may be subject to interest charges or suspension of services
  • Refund policies, if applicable, will be specified in your service agreement
  • You are responsible for all taxes associated with the Services

Confidentiality

We understand that you may share sensitive business and employee information with us. We commit to maintaining the confidentiality of your information and will not disclose it to third parties except as necessary to provide our Services, as required by law, or with your explicit consent. You agree to maintain confidentiality of any proprietary methodologies, templates, or materials we provide to you.

Intellectual Property

All content, materials, methodologies, and intellectual property provided by The Muir Group remain our property unless explicitly transferred in writing. You receive a limited, non-exclusive license to use our materials solely for your internal business purposes. You may not reproduce, distribute, or create derivative works from our materials without our written permission.

Limitation of Liability

To the fullest extent permitted by law:

  • The Muir Group provides advisory services and recommendations, but you retain sole responsibility for all employment decisions and compliance with applicable laws
  • We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of our Services
  • Our total liability for any claim related to our Services shall not exceed the fees you paid for the specific services giving rise to the claim
  • We make no warranties or guarantees regarding specific outcomes or results from implementing our recommendations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless The Muir Group, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our Services, your implementation of our recommendations, your violation of these Terms, or your violation of any applicable laws or regulations.

Termination

Either party may terminate an engagement according to the terms specified in the applicable service agreement. Upon termination, you must pay all fees for services rendered up to the termination date. Provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, limitation of liability, and indemnification) shall survive.

Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or that any defects will be corrected.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any disputes arising from these Terms or our Services shall be resolved through:

  1. Good faith negotiation between the parties
  2. If negotiation fails, binding arbitration in accordance with the rules of the American Arbitration Association
  3. Arbitration shall take place in Maryland, and judgment on the award may be entered in any court having jurisdiction

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and The Muir Group regarding our Services and supersede all prior agreements and understandings.
